These Google Reserve Merchant Terms (“Terms”) apply whenever a business (“Merchant”, “you”) enables the Reserve with Google integration through the TheScanBadge platform. They govern the technical connection TheScanBadge provides between the Merchant and Google Reserve End-to-End, and the processing of bookings on the Merchant’s behalf.
These Terms form part of, and should be read together with, the general Terms of Service, Privacy Policy, and Data Processing Agreement. By enabling the Reserve with Google integration in your account, you agree to be bound by these Terms.

1. Definitions
“Booking” means a reservation of your Service that is requested, confirmed, modified, or cancelled via Google Reserve End-to-End.
“Google Reserve” means the reservation functionality offered by Google, including Reserve with Google, Google Search, and Google Maps.
“End User” means the consumer or business customer who makes a Booking.
“Merchant Data” means locations, services, availability, prices, terms, media, and other data you supply for the integration.
2. Role of TheScanBadge
By enabling this integration, you authorize TheScanBadge to act as your technical intermediary for the Google Reserve connection, and to receive, confirm, modify, and cancel Bookings on your behalf.
TheScanBadge is not a provider or performer of the Service you offer. The agreement regarding that Service is formed directly between you and the End User.
You remain fully responsible for the performance, quality, safety, price, availability, customer service, refunds, and legal obligations relating to your Services.
3. Onboarding & Google Requirements
You agree to provide the cooperation reasonably required for onboarding, verification, testing, monitoring, and maintenance of the integration.
You warrant that your locations, services, and offerings comply with applicable law and with the Google Actions Center and Google Reserve requirements in force at the relevant time. TheScanBadge may refuse, pause, or remove Merchant Data or the integration where necessary for compliance, quality, safety, or an instruction from Google.
Admission, visibility, and placement within Google Reserve are ultimately determined by Google. TheScanBadge gives no guarantee of admission, ranking, reach, revenue, or uninterrupted availability of Google Reserve.
4. Merchant Data & Real-Time Availability
You supply complete, current, and accurate Merchant Data and update it immediately upon any change, including names, addresses, opening hours, services, duration, capacity, prices, images, terms, and contact details.
Google requires genuinely real-time availability, not a periodic or near-real-time sync. You keep availability and any blackout periods up to date in real time via the integration, prevent double bookings, and take appropriate organizational measures whenever the integration is temporarily unavailable. For standard bookings, your systems must be able to respond within the very short technical timeframes Google requires, and you maintain at least thirty (30) days of accurate, bookable inventory at all times. You grant TheScanBadge a non-exclusive, worldwide, royalty-free right to use Merchant Data, trade names, logos, and other supplied materials to operate the Google Reserve integration.
5. Booking Process & Customer Service
The default and standard configuration for Bookings is real-time automatic confirmation. Asynchronous (manual) confirmation is available only where Google has approved that configuration for your integration; where it applies, you are responsible for ensuring it operates within the timeframes permitted by Google.
You handle End User questions, complaints, changes, cancellations, no-shows, and refunds carefully and promptly, and provide an accessible point of contact for End Users.
You honor every cancellation option available through the integration and communicate your own cancellation, no-show, refund, and privacy terms clearly to the End User in the booking flow before a Booking is completed, as supported by Google Reserve.
6. Prices, Payments & Taxes
You are responsible for all prices, discounts, taxes, surcharges, payment terms, and mandatory price information applicable to your Services. Prices in the feed and booking flow must be complete, accurate, and inclusive of applicable taxes, unless the law permits otherwise.
TheScanBadge does not process payments from End Users on your behalf unless separately agreed in writing. Any Google Payments, pre-payment, or other in-flow payment functionality is available only after separate activation and remains subject to Google’s applicable payment and payment-processor requirements, in addition to these Terms.
You indemnify TheScanBadge against claims arising from incorrect prices, tax obligations, refunds, or payment disputes with End Users.
7. Fees
Any fees applicable to the Reserve with Google integration are set out in your TheScanBadge plan or a separate written agreement. Where invoicing applies, invoices are payable within fourteen (14) days of the invoice date. In the event of late payment, TheScanBadge may, after reasonable written notice, suspend the integration.
8. Privacy & Personal Data
To the extent TheScanBadge processes personal data solely on your behalf for this integration, you are the controller and TheScanBadge is the processor, subject to the Data Processing Agreement.
You ensure a valid legal basis, accurate privacy information for End Users, and the handling of data subject requests relating to Bookings you receive.
TheScanBadge shares personal data with Google to the extent necessary for the Google Reserve integration. Google is not a subprocessor engaged by TheScanBadge for this purpose: for its part of the Google Reserve chain, Google acts under its own terms and privacy documentation and determines its own role. TheScanBadge remains responsible for the subprocessors it engages, as listed in the Data Processing Agreement and the Subprocessor Transparency page.
9. Security & Incidents
TheScanBadge takes appropriate technical and organizational measures to secure personal data and the integration. You take appropriate measures to secure your own systems, accounts, API keys, staff, and locations.
Each party informs the other without undue delay of a security incident that may affect the other party or the personal data processed, and cooperates reasonably in investigation, mitigation, and any required notifications.
You report suspected misuse, erroneous Bookings, or availability problems to TheScanBadge immediately via .
10. Intellectual Property & Data
All rights to the software, documentation, configurations, methods, and trademarks of TheScanBadge remain with TheScanBadge or its licensors. You obtain only a limited, non-exclusive, non-transferable right to use the integration for as long as it remains enabled.
You retain the rights to your Merchant Data and warrant that its use by TheScanBadge and Google does not infringe the rights of third parties.
TheScanBadge may use aggregated and anonymized usage and quality data to manage, secure, and improve the Service, provided such data does not reasonably identify you or End Users.
11. Availability, Changes & Support
TheScanBadge strives for a reliable integration but does not guarantee error-free or uninterrupted operation. Maintenance, outages at Google, internet connections, or systems of you or third parties may affect the integration.
TheScanBadge may change the integration where necessary for security, legislation, Google requirements, technical developments, or business operations, and will inform you in advance of a materially adverse change where reasonably possible.
Support levels, response times, and service windows apply only where separately agreed in writing.
12. Force Majeure
TheScanBadge is not liable for delays or failures in the integration caused by events beyond its reasonable control, including outages or API changes at Google, internet or telecommunications disruptions, cyberattacks, or government action. Where such an event affects the integration for a significant period, either party may suspend the affected obligations for its duration without liability.
13. Liability & Indemnification
To the maximum extent permitted by law, TheScanBadge is not liable for indirect, incidental, or consequential damages, including lost revenue, loss of profit, reputational damage, missed bookings, or loss of data arising from this integration.
Total liability of TheScanBadge under these Terms is limited to the greater of the amount you paid for the Service in the twelve (12) months preceding the event, or €5,000.
You indemnify TheScanBadge against claims from End Users, Google, regulators, or third parties arising from your Merchant Data, your Services, violation of laws or regulations, misleading information, incorrect prices, or your breach of these Terms.
14. Operational Obligations
By keeping the integration enabled, you agree to:
- Maintain TheScanBadge’s ongoing right to process Bookings on your behalf for as long as the integration is active
- Support cancellation of Bookings via the agreed Google Reserve flow or a clear digital alternative
- Ensure every Booking can be correctly fulfilled and that on-site staff can retrieve it
- Keep error rates low, address operational incidents promptly, and cooperate with corrective measures from TheScanBadge or Google
- Refrain from misleading prices, artificial availability, improper cancellations, or other practices that undermine the quality or integrity of Google Reserve
Availability requirement: you maintain at least thirty (30) days of accurate, bookable availability where required by Google. That availability must be made available to TheScanBadge in real time and must be sufficient for TheScanBadge to respond to Google availability requests within the applicable Google technical timeframes.
Opt-out: where you request removal from the Google Reserve integration, TheScanBadge will process the removal and cease submitting you to the integration within five (5) business days, subject to any Bookings already confirmed before that date. This five-business-day period covers when TheScanBadge stops submitting your data to Google; exactly when Google’s own systems stop displaying your listing on Search, Maps, or Reserve is determined by Google and is not guaranteed by TheScanBadge.
15. Term & Termination
You may disable the Reserve with Google integration at any time from your Pro Settings; see Section 14 for the five-business-day removal timeframe that applies once you do. TheScanBadge may suspend or remove the integration where necessary for compliance, security, fraud prevention, non-payment, or an instruction from Google.
Once disabled or terminated, TheScanBadge stops syncing your data to Google. Bookings already confirmed with Google remain subject to your normal cancellation and no-show policies. Provisions that by their nature are intended to survive, including privacy, intellectual property, liability, and indemnification, remain in effect.
16. Confidentiality
Each party keeps confidential information of the other party secret and uses it solely for the operation of this integration. This obligation does not apply to information that is public without breach, was already lawfully known, was lawfully obtained from a third party, or must be disclosed under law or a binding order.
17. Changes to These Terms
TheScanBadge may update these Terms where necessary due to legislation, security, or Google requirements. Material changes will be announced in advance where reasonably possible. Continued use of the integration after changes take effect constitutes acceptance of the revised Terms.
18. Governing Law
These Terms are governed by Dutch law. Disputes shall be submitted to the competent court in the Netherlands, unless mandatory law provides otherwise.
